    Augmnt Terms of Service

    1. Acceptance of Terms

    By accessing and using the Augmnt platform ("Platform"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not accept these Terms, you may not use the Platform. These Terms constitute a binding agreement between you and Augmnt Technologies Inc.

    2. Description of Service

    Augmnt is an online platform that connects businesses with AI-verified contractors and full-time consultants. We utilize proprietary AI verification, scoring, and matching systems to streamline the hiring process. Our services include consultant search, validation, communication tools, and optional integrations with third-party applicant tracking systems (ATS).

    3. Eligibility and User Accounts

    To access certain features, users must register for an account. By registering, you represent that you are at least 18 years of age and legally able to form a binding contract. You agree to:

    • Provide accurate, current, and complete registration information
    • Maintain and promptly update your account data
    • Keep your login credentials secure
    • Accept full responsibility for all activities that occur under your account
    • Immediately report any unauthorized access or use of your account

    Augmnt reserves the right to suspend or terminate any account that provides false or misleading information.

    4. Roles and Responsibilities

    Augmnt is not a party to employment or contracting agreements between users. We do not guarantee the employment terms, deliverables, or outcomes of any engagement initiated on the Platform. Businesses are responsible for vetting consultants, and consultants are responsible for meeting contractual obligations.

    5. Verification and Matching

    Augmnt uses automated and manual methods to verify user credentials, skills, and backgrounds. While we strive to provide accurate information, we do not warrant that all data is complete, accurate, or up to date. Final hiring decisions and due diligence remain the sole responsibility of the hiring business.

    6. Fraud Analysis and Risk Assessment Tools

    Augmnt provides fraud detection, risk scoring, and consultant analysis tools (collectively, "Risk Assessment Tools") including but not limited to: fraud scores, fraud signals, pattern detection, identity verification checks, diploma mill detection, duplicate identity detection, and AI-powered resume analysis. By using these tools, you acknowledge and agree to the following:

    • Risk Indicators Only: Risk Assessment Tools provide risk indicators and probability assessments only. They are NOT definitive determinations of fraud, misrepresentation, or consultant suitability. A high fraud score does not conclusively prove fraudulent activity, and a low fraud score does not guarantee a consultant is legitimate or qualified.
    • No Guarantees or Warranties: AUGMNT MAKES NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR EFFECTIVENESS OF THE RISK ASSESSMENT TOOLS. These tools are provided "AS IS" and "AS AVAILABLE" without warranty of any kind.
    • Not a Substitute for Due Diligence: Risk Assessment Tools are supplementary aids only and are NOT a substitute for your own independent background checks, reference verification, skills assessments, interviews, or any other due diligence measures. You remain solely responsible for conducting thorough vetting of all consultants before making any hiring, contracting, or engagement decisions.
    • AI and Algorithmic Limitations: Our Risk Assessment Tools utilize artificial intelligence, machine learning, and algorithmic analysis. These technologies have inherent limitations including potential for false positives, false negatives, bias, and errors. The tools may fail to detect sophisticated fraud schemes or may incorrectly flag legitimate consultants.
    • Your Sole Responsibility: All hiring, employment, contracting, and engagement decisions are made at your sole discretion and risk. You acknowledge that you are solely responsible for evaluating consultants, verifying their qualifications, and making informed decisions regardless of any risk scores or signals provided by Augmnt.
    • No Employment Relationship: Augmnt is not an employer, co-employer, or joint employer of any consultants. We do not control, supervise, or direct the work of any consultant you engage through the Platform.

    Complete Limitation of Liability for Risk Assessment

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUGMNT TECHNOLOGIES INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, CLAIMS, LIABILITIES, COSTS, OR EXPENSES OF ANY KIND (INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES) ARISING FROM OR RELATED TO:

    • Any consultant who passes through, is cleared by, or receives a favorable assessment from our Risk Assessment Tools and subsequently engages in fraud, misrepresentation, criminal activity, misconduct, poor performance, or any other harmful behavior
    • Any hiring decision made in reliance on, or influenced by, Risk Assessment Tools
    • Any failure of Risk Assessment Tools to detect fraud, misrepresentation, criminal history, identity theft, impersonation, or other concerning patterns
    • False positives that result in rejection of legitimate consultants
    • False negatives that result in engagement of fraudulent or unsuitable consultants
    • Any actions, omissions, conduct, or performance of any consultant, whether during or after their engagement
    • Loss of business, contracts, revenue, data, reputation, or goodwill
    • Third-party claims arising from your hiring or engagement decisions
    • Any reliance on fraud scores, risk signals, or any other output of Risk Assessment Tools

    This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Augmnt has been advised of the possibility of such damages.

    Indemnification for Fraud-Related Claims

    You agree to defend, indemnify, and hold harmless Augmnt Technologies Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising from or relating to: (a) any consultant you hire, engage, or contract with through or in connection with the Platform, including any claims brought by or against such consultants; (b) your use of or reliance on Risk Assessment Tools; (c) your hiring, employment, or contracting decisions; (d) any claims by third parties resulting from the actions or omissions of consultants you engaged; and (e) your failure to conduct adequate due diligence or background verification.

    Acknowledgment of Risk

    BY USING THE RISK ASSESSMENT TOOLS, YOU EXPRESSLY ACKNOWLEDGE THAT: (1) NO FRAUD DETECTION SYSTEM IS FOOLPROOF; (2) SOPHISTICATED FRAUDSTERS MAY EVADE DETECTION; (3) YOU ASSUME ALL RISK ASSOCIATED WITH YOUR HIRING AND ENGAGEMENT DECISIONS; (4) AUGMNT SHALL HAVE NO LIABILITY WHATSOEVER FOR THE CONDUCT OF ANY CANDIDATE; AND (5) YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

    7. Fees and Payments

    Augmnt offers tiered subscription plans for businesses, each with different fee structures. The following prices reflect annual billing rates:

    • Stride Plan ($179/month when billed annually, $199/month when billed monthly): Up to 1 seat; Up to 5 job postings; Access to verified consultants; AI-powered matching; ATS integration
    • Scale Plan ($599/month when billed annually, $699/month when billed monthly): Up to 5 seats; Up to 20 job postings; Access to verified consultants; AI-powered matching; ATS integration; Dedicated Customer Success Manager

    Monthly billing options are available at higher rates. Subscription fees are billed monthly or annually as selected at the time of purchase. Contractor markups and permanent hire fees are disclosed at the time of engagement. All fees are non-refundable unless otherwise stated in writing. Augmnt reserves the right to modify pricing with advance notice to subscribers.

    8. Taxes

    Users are solely responsible for determining and remitting any taxes applicable to their use of the Platform, including income tax, VAT, or other employment-related obligations. Augmnt does not provide tax, accounting, or legal advice.

    9. Code of Conduct

    You agree not to:

    • Violate any applicable laws or regulations
    • Infringe on intellectual property or privacy rights
    • Misrepresent your identity, skills, or qualifications
    • Harass, threaten, or abuse other users
    • Use the Platform for unauthorized advertising or spam
    • Interfere with or disrupt the Platform's operation
    • Reverse engineer, decompile, or exploit the Platform

    10. Intellectual Property

    All content, code, branding, and design on the Platform are the property of Augmnt Technologies Inc. and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

    11. Data Use and Privacy

    Use of the Platform is also governed by our Privacy Policy. We collect, store, and process user data in accordance with our stated practices. Users retain ownership of their own content but grant Augmnt a limited license to use it for the purposes of operating and improving the Platform.

    12. Limitation of Liability

    To the maximum extent permitted by law, Augmnt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the Platform.

    13. Indemnification

    You agree to indemnify and hold harmless Augmnt Technologies Inc., its affiliates, and employees from any claims, losses, or liabilities arising from your use of the Platform or violation of these Terms.

    14. Termination and Suspension

    Augmnt may suspend or terminate access to your account at any time, with or without notice, for any reason, including violation of these Terms or suspected fraudulent behavior. Upon termination, all rights granted to you will cease immediately.

    15. Changes to the Terms

    We may update these Terms periodically. Material changes will be communicated via email or platform notification. Continued use after changes go into effect constitutes acceptance of the revised Terms.

    16. Governing Law and Dispute Resolution

    These Terms shall be governed by the laws of the jurisdiction in which Augmnt Technologies Inc. is incorporated. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction, as specified in supplemental agreements or policies.

    17. Consultant Rewards and Client Rebates

    Augmnt may offer incentive programs including Consultant Rewards (Growth Track) and Client Rebates (Corporate Rewards). By participating in these programs, you agree to the following:

    • Sole Discretion: All rewards, rebates, points, tier statuses, and associated benefits are provided at Augmnt's sole discretion. Augmnt reserves the right to modify, suspend, or terminate any rewards or rebates program at any time without prior notice.
    • Dispute Resolution: All disputes regarding rewards, rebates, points accrual, tier qualification, or any other aspect of these programs shall be resolved exclusively by Augmnt. Augmnt's decisions on all such matters are final and binding.
    • Rebate Eligibility: Client rebates (e.g., 1% rebate at certain tiers) apply to permanent placement fees and contractor markups. Scale Plan subscribers may also be eligible for rebates on subscription fees as specified in their plan terms.
    • No Cash Value: Points, rewards, and rebates have no cash value and cannot be transferred, sold, or exchanged except as expressly permitted by Augmnt.
    • Program Changes: Augmnt may adjust point values, tier thresholds, rebate percentages, and program terms at any time. Continued participation after changes constitutes acceptance of the revised terms.
    • Referral Requirements: Referrals must represent genuine business relationships. Self-referrals, referring fake or fictitious businesses or consultants, or referring parties with whom you have a pre-existing financial arrangement to share rewards are strictly prohibited.
    • Program Abuse: Augmnt reserves the right to revoke points, rescind rewards, suspend accounts, and pursue legal remedies for suspected abuse of rewards or referral programs, including but not limited to: creating multiple accounts to earn referral bonuses, submitting fraudulent or non-genuine referrals, colluding with others to game the rewards system, or any other conduct intended to improperly obtain rewards.
    • Admin Approval: All referral rewards are subject to admin review and approval. Augmnt may withhold or deny rewards for any referral that does not meet program requirements or appears to violate these terms.

    18. Non-Circumvention

    By using the Platform, you agree not to circumvent Augmnt's fee structure by:

    • Contacting, soliciting, or engaging any consultant discovered through Augmnt via channels outside the Platform to avoid applicable fees
    • Hiring, contracting, or engaging consultants found through Augmnt without proper disclosure and payment of fees
    • Directing consultants to apply through other channels after initial discovery on Augmnt

    This obligation applies for 3 months following your last interaction with a consultant on the Platform. Violation of this section entitles Augmnt to recover the full fees that would have been payable, plus any costs of enforcement including reasonable attorney's fees.
